Unless otherwise stated on the invoices, they are payable in full and in cash, without discount, upon issuance, which shall constitute formal notice of default.

Any unjustified delay in payment shall automatically entitle us, as of the following day and without formal notice, to a flat-rate surcharge of 15% with a minimum of 75 euros, as well as to the payment of late payment interest at the rate provided for by the Law of August 2, 2002, on combating late payment in commercial transactions.

Furthermore, Artifreeze is entitled, without prejudice to its right to reimbursement of legal costs in accordance with the provisions of the Judicial Code, to claim from the customer reasonable compensation for all relevant collection costs incurred as a result of the late payment.

All our sales are concluded subject to retention of title until full payment of the price, including principal and interest, plus any damages. Upon delivery of the products, the risks and perils, storage, maintenance, and use of the goods sold subject to retention of title shall be the responsibility of the customer.

The quantity and nature of the goods delivered must be verified against the delivery documents, and the temperature of the delivered goods must be checked for compliance, at the time of unloading. Any discrepancies must be noted in writing on all copies of the delivery note and signed (with the name in capital letters). Any subsequent claims will not be considered.

Any complaint or dispute regarding the invoiced prices and/or the quality of the delivered goods must be submitted in writing to Artifreeze’s headquarters within 8 days of receiving the invoice.

Any complaint or dispute regarding the goods delivered does not entitle the customer to defer payment of the price.

Unless Artifreeze has given prior written consent, the customer is not authorized to issue a corrective document themselves through a self-billing procedure.

Any late payment shall render all unpaid invoices, including those not yet due, immediately payable and shall entitle Artifreeze to terminate any contract automatically and without notice or other formalities. In such cases, Artifreeze reserves the right, without prior notice, to suspend or cancel the delivery of pending orders.

The application of discounts or rebates granted by Artifreeze or resulting from specific agreements is subject to the customer’s compliance with all obligations, and more specifically to compliance with payment deadlines.

By paying an invoice received exclusively electronically, the customer agrees to receive all invoices and credit notes electronically.

Our general terms and conditions take precedence over those of our customers, notwithstanding any contrary provisions in their general terms and conditions.

Any dispute shall fall under the exclusive jurisdiction of the courts of Brussels or the Justice of the Peace of the Third Canton of Brussels.
